The Campbell Johnston Clark (CJC) transactional team, consisting of Alastair Macaulay (Consultant and Marshall Islands counsel), James Clayton (Partner and Head of the Commercial and Finance Department), Simran Keightley (Associate) and Rachael Opeagbe (Associate), acted for Cadeler A/S (OSE: CADLR) (Cadeler) as Marshall Islands counsel in relation to the business combination with Eneti Inc. (NYSE: NETI) (Eneti) through a stock-for-stock exchange. CJC advised on the Marshall Islands elements of the structure, conducted a due diligence review and subsequently managed corporate authorisation and execution.
Alastair Macaulay has been Marshall Islands counsel since 2002 and has over 30 years experience in maritime projects and finance.
Commenting on the matter, James Clayton said “CJC was delighted to support Cadeler on this major transaction with the creation of a leading offshore wind turbine and foundation installation company that will further help the green transition. It also demonstrates the strength of CJC’s advisory team and the level of transactions which CJC advises on”.
